AstraZeneca Investment in Summit Therapeutics Closes at $2 Billion

AstraZeneca

Summit Therapeutics Inc. has announced the successful closing of the AstraZeneca investment in Summit Therapeutics. AstraZeneca (LSE/STO/NYSE: AZN) made the strategic equity investment to back Summit’s lead program. That program centers on ivonescimab, a novel, potential first-in-class investigational PD-1 / VEGF bispecific antibody. As a result, Summit can now accelerate the development of this candidate.

Deal Terms of the AstraZeneca Investment

Summit and AstraZeneca finalized the deal under a Securities Purchase Agreement. Specifically, AstraZeneca purchased approximately 108,955 shares of preferred stock. Each share converts into Summit common stock at a 1:1,000 ratio. In total, the AstraZeneca investment reached $2.0 billion.

Furthermore, the conversion ratio sets the common stock price at $18.36. That price carries a premium over the closing trading price on the day Summit announced the investment. Summit leadership welcomed the milestone. Robert W. Duggan, Chairman and Co-Chief Executive Officer of Summit Therapeutics, spoke about the deal.

“This investment reflects AstraZeneca’s confidence in Summit and in ivonescimab’s potential to redefine cancer treatment,” said Robert W. Duggan, Chairman and Co-Chief Executive Officer of Summit Therapeutics. “We share a resolute vision for what may be possible for patients, and this strategic relationship strengthens our ability to pursue that vision with urgency, purpose, and an unwavering commitment to meaningfully improving outcomes.”

How the Funds Will Speed Up Ivonescimab Development

The additional capital will allow Summit to accelerate ivonescimab across several solid tumor settings. In addition, the plans include combinations with antibody drug conjugates (ADCs). Collaborations announced last week already cover two such combinations. Those pairings involve sonesitatug vedotin (Sone-Ve) and Datroway® (datopotamab deruxtecan).

Meanwhile, a bispecific antibody like ivonescimab targets two pathways at once. In this case, the antibody addresses both PD-1 and VEGF. Therefore, the candidate has drawn strong attention across the oncology and biotech sectors.

Moreover, the closing of the AstraZeneca investment in Summit Therapeutics signals a deeper strategic relationship between the two companies. Summit now holds fresh funding to push its clinical programs forward with greater speed.
