AEye has officially issued an inducement equity award to Laura Wrisley. She serves as the company’s newly appointed Chief Revenue Officer. Consequently, this equity package supports her transition to employment. The Compensation Committee of the Board of Directors approved this decision on July 28, 2026. Furthermore, the committee consists entirely of independent directors.
The compensation package became fully effective on August 18, 2026. Specifically, that date marked Ms. Wrisley’s official first day with the firm. The board granted this award as a material inducement for her employment. Moreover, they executed the grant under Nasdaq Listing Rule 5635(c)(4). Ms. Wrisley was granted a lucrative inducement award of 125,000 restricted stock units. In this way, these units directly link her success to shareholder value.
Governance and Vesting Structure
The restricted stock units will vest over a longer period of time. One-third of the total grant vests on November 15, 2027. Afterward, the remaining units will vest in equal quarterly installments over eight quarters. However, each vesting event requires her continued employment with the firm.
The company issued these units outside its traditional stockholder-approved equity incentive plans. Instead, managers structured the grant under the 2025 Employment Inducement Incentive Award Plan.
This specific plan relies directly on the inducement grant exception within Nasdaq rules. In addition, an official RSU award agreement governs all underlying terms.
Executive Leadership and Strategic Outlook
As previously announced on July 29, 2026, Ms. Wrisley accepted the role eager to scale business operations. AEye relies on her executive vision to expand global market share. She brings over two decades of commercial leadership experience. Notably, her background spans lidar technology, data transport, and autonomous robotics.
Previously, she held senior revenue leadership roles at Velodyne Lidar and Vayu Robotics. Thus, her technical depth aligns with complex autonomous hardware platforms. Currently, she leads the company’s Sales and Business Development organization. She holds direct responsibility for building and executing aggressive go-to-market strategies. As a pioneer in software-defined lidar solutions, AEye continues to expand its technology stack. Their flagship Apollo platform detects objects up to one kilometer away.
The long-range STRATOS system also increases the ability to detect objects up to one and a half kilometers away. Conversely, their OPTIS platform offers real-time full-stack 3D image interpretation. The hiring of Ms. Wrisley is a strong commercial momentum for AEye. The leadership team also expects her guidance to speed up enterprise partnerships. The equity inducement is considered a significant promise to retain executives. In the end, AEye aims to solidify its position as a leader in high-performance lidar in world markets.
